MYNE HUB PLATFORM TERMS OF SERVICE

1. BINDING NATURE OF THESE TERMS AND MYNEHUB’S CONTACT DETAILS

These Terms and Conditions of Service (“Terms”) is the agreement between you (“User”) and MyneHub Ventures, SL, a company with head office address in Príncipe de Vergara 112; Utopicus – Floor 2 – unit 1, 28002, Madrid, Spain and email address support@mynehub.com (“MyneHub”) that regulates your use of:

MyneHub’s mobile application (“Platform”),
The website available at www.mynehub.com (“Website”), and
All services, features, and functionalities of the Platform and Website (collectively, “Services”).

“We,” “us,” “our,” and “MyneHub” refer to MyneHub, and “you” and “User” refer to you. These Terms apply to your use of the Services, which includes mobile and tablet versions, as well as any other version of the Services accessible via desktop, mobile, tablet, social media, or any third-party websites.

2. ACCEPTANCE AND MODIFICATION OF THESE TERMS

If you are under 18, you cannot agree to these Terms and must not use our Services.

By downloading, registering for, accessing, and/or using the Services in any way, you agree to be bound by these Terms in full and represent and warrant that:

You have full right, power, and authority to be bound by these Terms — which constitutes an agreement between you and MyneHub — and to fully perform all of your obligations hereunder.
You are not under any legal incapacity or contractual restriction that would prevent you from complying with these Terms.
Any personal or sensitive data or information that you provide to us, either on your own initiative or in response to a request from MyneHub, is true, accurate, current and complete.
You are not under 18 years old.
You have not been convicted, nor has any judicial or administrative proceeding been initiated against you for the investigation of events that could be considered compatible or directly or indirectly related to the commission of crimes of money laundering or financing of terrorist acts.

We may modify these Terms from time to time without notice to you, unless required by law, and without this giving rise to any claim or indemnification in your favor, and such modification will be effective upon posting on the Services. You agree to be bound by any modification of these Terms when you use the Services after the posting of such modification; therefore, it is important that you review these Terms regularly. Your access or use of the Services implies your acceptance of and agreement to any changes that may be made to the Terms.

3. GOOGLE PLAY AND PERSONAL DATA SHARING AND/OR PROCESSING BY GOOGLE

The Platform will be available for download through the Google Play platform, managed by Google LLC. By using the Platform, the User acknowledges and agrees that Google’s terms of service and privacy policy will also apply in connection with the download, installation, and use of the Platform. Google Play terms of service and privacy policies are alien to MyneHub so if you have any doubt or query regarding them you must contact Google LLC at the addresses specified therein. We encourage reviewing both Google Play terms and conditions (available here) and privacy policy (available here), in addition to these Terms and our own privacy policy before downloading the App from Google Play.

By using the Services, the User agrees that certain personal and usage information may be shared with Google for the purpose of improving the user experience, performing analytics, and providing related services. This may include, but is not limited to, usage data, geographic location, user preferences, and other relevant data. Google’s collection, use, and sharing of this information will be subject to its own privacy policies.

4. USER’S PERSONAL AND UNTRANSFERRABLE ACCOUNT. CONFIDENTIALITY DUTY AND DEACTIVATION

You are entitled to register and open one account on the Services. Accounts are personal and untransferable and you can only have one account at a time. You must never use another User’s account. You are fully responsible for:

Maintaining the confidentiality of your password and account information, and
All activities that occur under your password or account.

You agree to immediately notify MyneHub at the email address indicated in Section 1 of any unauthorized use of your password or account or any other breach of security, and you undertake to ensure that you log out of your account at the end of each session.

You can deactivate your account, at any time and for any reason, through your account settings or by sending MyneHub your request through the email address indicated in Section 1. After deactivation your account will no longer appear on the Services, and you will not be able to use it again. However, your personal data will not be deleted until all transactions through the Services have terminated and the data retention period indicated in our Privacy Policy expires (i.e. MyneHub will continue using your personal data until the transaction(s) are terminated and, after that moment, MyneHub will keep them duly blocked for the period required by applicable laws).

MyneHub reserves the right to cancel, block or suspend your account or your access to your account or to the Services without prior notice if MyneHub believes that you have violated any of these Terms, the law or any condition you may be requested to accept at the Services, or there is any risk for you and/or for any other User or third party.

5. USER’S IDENTITY VERIFICATION (KYC) PROCESS AS AN ESSENTIAL STEP FOR USER’S REGISTRATION AT THE SERVICES

MyneHub’s Services are used by third-parties to provide you with additional products and services, such as payment instruments, airtime advances, Fintech credit and/or loan products, among others (“Third-Party Services”) and our Services may be used by those third-parties to collect and process your personal data. To use the Third-Party Services, all Users must complete an Identity Verification or Know Your Customer (“KYC”) process. You may also be requested to accept the relevant Third-Party Service terms and conditions, including their Privacy Polic. With regards to such Third-Party Services, you acknowledge and agree that (i) the Third-Party Services are not provided by MyneHub, but by the relevant third-party provider, which is alien to MyneHub and its affiliates, (ii) MyneHub may act solely on behalf of such third-party, and (iii) only the relevant third-party provided shall be liable to you for any non-compliance or damage that may be caused to you, pursuant to the terms and conditions between you and such third-party with regards to the relevant Third-Party Service.

In order to comply with the KYC process, one or more of the following documents and information may be requested:

National ID card, passport, or driver’s license.
Proof of address, such as utility bills or bank statements.
Other documents and information required via the Services to comply with applicable laws and regulations.

After submitting the required documentation, MyneHub, on behalf of the provider of the Third-Party Services, will review the documents and respond within a reasonable period. MyneHub reserves the right to request additional information or documentation on behalf of the relevant third-party if necessary for complying with applicable laws.

Users are responsible for keeping their KYC information up to date. If there are any changes to the information provided, you must notify MyneHub (or the relevant third-party directly) and provide the appropriate updated documentation.

MyneHub reserves the right to deny, suspend or terminate access to the Services if a User does not successfully pass the KYC process or if there is suspicion or proof that the information provided is false, inaccurate, or incomplete. You must not provide third-parties’ personal data during the KYC process.

All information and documentation collected as part of the KYC process will be kept confidential and stored in accordance with the Third-Party Services provider’s Privacy Policy and applicable data protection laws. As detailed in our Privacy Policy, you acknowledge and agree that MyneHub, MyneHub affiliates, MyneHub third-party service providers, MyneHub agents and providers of Third-Party Services may come into possession of your personal data, which may include especial categories of personal data (i.e. ‘sensitive data’ as biometric data requested for you to conduct the KYC process).

6. MYNEHUB SERVICES FUNCTIONS AND LIMITATIONS. ACTIVITIES OUT OF MYNEHUB’S CONTROL AND RESPONSIBILITY

MyneHub provides Services that enables Users to digitally:

Register as a User of the Services;
Apply for, receive and use certain Third-Party Services ―upon following the KYC process described above— that may allow Users, among others, to have payment instrument(s) granted by a financial institution (“Instrument(s)”);
Choose, order, store and repay Instrument(s) at the User’s private area at the Services and follow their evolution;
Transmit User’s information to third-party providers for transactional purposes regarding the Instrument(s) and Third-Party Services.

MyneHub does NOT:

Issue credit or determines eligibility for having credit granted —the Third-Party Services provider is the one who determines the eligibility for providing the Third-Party Services, granting Instrument(s) and, if applicable, issuing them.
Provide financial and/or legal advice, neither gives any recommendation regarding transactions, investments and/or purchase or use of Third-Party Services or Instrument(s).
Order any transaction over the Instrument(s): the Services allows the User to make the corresponding request or application, order and store the Instrument(s) and see the information regarding Instruments(s) granted by a third-party. Transactions conducted through the Services are solely between you and the Third-Party Services provider (neither MyneHub nor its affiliates are parties to these transactions).
Control:
The availability or accuracy of Third-Party Services, Instrument(s), payment cards, funds, payments, refunds, or chargebacks, which are controlled and managed by the corresponding Third-Party Service provider.
The provisioning or addition of Third-Party Services or Instruments(s) to the User’s private area at the Services, or the addition of funds to Instrument(s) balances, which are controlled and managed by the corresponding Third-Party Service provider.
Any payment method(s) you may be requested to use by the corresponding Third-Party Service provider regarding the Third-Party Services or Instrument(s) you decide to receive or use through the Services. Therefore, to make any payments regarding your Third-Party Services or Instrument(s) you will access the environment controlled by the corresponding payment service provider (an environment which may be outside the Services and not controlled by MyneHub or its affiliates), where the amount and reference of the purchase will appear on the screen and you may be asked to provide information to which MyneHub may not have access to. In such a case, given that the payment is made in an environment outside the Services, you expressly and unconditionally acknowledge that you are aware that any issues or eventualities related to this process must be reported to the payment service provider, in accordance with its terms and conditions, and not against MyneHub, which has no control over the payment tool nor does it process the data that Users provide to make payments.
Other commercial activities relating to the User’s use of the Services —this is controlled and managed by the corresponding third-party Service provider with which the User enters into commercial activities.
Verify the standing of any Loan(s), nor does it guarantee that its issuer will authorize or approve any transaction with a merchant or transit provider when using the Services for that transaction.
Have any obligations under (a) the agreement(s) you may enter into with Third-Party Service providers and your registered payment Instruments’ cardholder or (b) other terms of use you accept to get the Instrument(s), given that MyneHub is not a party to such agreements.

For any concerns related to the aforementioned points, the User must contact the Third-Party Service provider and Instrument(s) issuer directly (i.e., the third-party merchant/financial institution alien to MyneHub and to its affiliates).

7. LIMITATION OF LIABILITY

You acknowledge and agree that the use of the Services is at your own sole risk. Therefore, the entire risk of dissatisfaction and any eventual loss (direct or indirect) rests with you. Consequently, by registering at the Services and accepting these Terms you expressly and unconditionally agree to waive any actions you may have against MyneHub or any of its affiliates arising out or related to your use of the Services).

MyneHub may make available to you, through the Services, the Third-Party Services without warranties or support of any kind and make no representation or endorsement whatsoever in this respect.

MyneHub shall NOT be liable for any:

Direct or indirect damages or losses arising from the Third-Party Services or Instrument(s) — including but not limited to financial losses, losses related to completed or unrealized transactions, errors in the transfer of funds or any other;
Third parties’ behavior, action(s) and/or omission(s), products, services, or content — including but not limited to financial and payment service providers with whom MyneHub may collaborate —that can result in direct or indirect damage(s) for any User.
The actions, products, services, or content of third parties, including but not limited to financial and payment service providers with whom MyneHub may collaborate.
Any unauthorized access to User’s accounts or any direct or indirect losses related to security events caused by third parties.
FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST FUTURE EARNINGS, LOST ECONOMIC ADVANTAGE) ARISING FROM OR RELATING TO THE SERVICES.
FOR ANY BREACH OR DAMAGE THAT MAY BE CAUSED TO YOU RELATED TO OR ARISING OUT OF THE THIRD-PARTY SERVICES AND TO THE FULLEST EXTENT PERMITTED BY LAW, YOU EXPRESSLY AND UNCONDITIONALLY WAIVE ANY CLAIM AGAINST MYNEHUB FOR ANY EVENTUALITY ARISING OUT OF OR RELATED TO THE THIRD-PARTY SERVICES AND RELATED ENVIRONMENTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYNEHUB DISCLAIMS AND EXCLUDES ALL WARRANTIES AND REPRESENTATIONS REGARDING THE SERVICES, AND ITS DOCUMENTATION, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, COMPRISING OR OTHERWISE RELATED TO SATISFACTORY QUALITY, MERCHANTABILITY AND FITNESS FOR A PARTICULAR USE OR PURPOSE.

Furthermore, MyneHub has appropriate security measures implemented to protect User’s information, but MyneHub does not guarantee that the Services are free of defects, vulnerabilities or that it is invulnerable to external attacks.

8. INTELLECTUAL PROPERTY RIGHTS AND OTHER RIGHTS OVER INTANGIBLE ASSETS AT THE SERVICES. ACTIVITIES YOU ARE NOT ALLOWED TO CONDUCT

The Services, and all materials available on the Services — including, without limitation, names, logos, trademarks, internet domain names, games, images, texts, columns, graphics, videos, photographs, illustrations, software, know-how, trade secrets, designs and any other intangible assets susceptible to have actual or potential economic value, regardless if they are registered or not, and including all applications and rights to apply for and be granted, renewals or extensions of such rights — are copyrighted elements, or protected by intellectual property rights or by any other right(s) over intangible assets susceptible of having current or potential economic value, regardless of its registration or not (collectively, the “Intellectual Property”).

Intellectual Property is owned by MyneHub or by third parties that have granted MyneHub the corresponding license to use it on the Services. Therefore, you expressly acknowledge and agree that all Intellectual Property:

Is made available to you only on the Services, for limited, non-commercial and personal use, subject to these Terms and any other condition you may be requested to accept at the Services.
Cannot be copied, reproduced, republished, sold, downloaded, posted, transmitted, or distributed in any way, or otherwise used for any purpose, by you or any third party. Therefore, you cannot add, delete, distort, or otherwise modify the Intellectual Property and any attempt to modify it, to defeat or circumvent any security features, or to utilize the Services or any part of the Intellectual Property for any purpose other than your personal use as Services User — according to these Terms and any other condition you may be requested to accept at the Services — is strictly prohibited.

MyneHub will address any inquiries and/or complaints relating to alleged Intellectual Property infringement at the email address indicated in Section 1. If you believe, in good faith, that any material provided on the MyneHub website infringes your copyright or other intellectual property rights, please do not hesitate to contact us at the email address indicated at Section 1, with the following information:

Identification of the intellectual property right that is allegedly infringed. All relevant registration numbers or a statement regarding ownership of the work should be included.
A statement that specifically identifies the location of the infringing material, in sufficient detail so that MyneHub can find it on the Services.
Your contact details in order MyneHub to be able to reach you immediately.

You expressly and unconditionally agree NOT to:

Modify, copy, download, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell or re-sell any Intellectual Property and other information, materials and/or services obtained from or through the Services.
Access, monitor, reproduce, distribute, transmit, broadcast, display, sell, license, copy, or otherwise exploit any content provided through the Services, including but not limited to, using any robot, spider, scraper, or other automated or manual means for any purpose against these Terms, the law and any other condition you may be requested to accept in the Services.
Violate the restrictions in any robot exclusion headers on the services available through the Services, or bypass or circumvent other measures employed to prevent or limit access to them.
Take any action that imposes, or may impose, in our opinion, an unreasonable or disproportionately large load on our infrastructure.
Deep-link to any portion of the Services for any purpose.
Frame, mirror, or otherwise incorporate any part of the services available at the Services into any other website, application or platform.
Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software used by MyneHub for the services available at the Services, unless permitted by applicable law.
Circumvent, disable, or otherwise interfere with security-related features of the Services aimed to protect Intellectual Property.

As a User, MyneHub grants you a personal, time-limited, worldwide, royalty-free, non-assignable/transferrable, and non-exclusive license to use the Services, including its modified versions, updates, upgrades, enhancements, improvements, additions (if any). This license you are granted with is for the sole purpose of allowing you to use the features available on the Services and the Third-Party Services, as applicable, in the manner permitted by these Terms, the law and any other condition you may be requested to accept at the Services, including the Third-Party Services terms and conditions.

9. PRIVACY POLICY

These Terms incorporate our Privacy Policy, which form part of these Terms ― i.e., the agreement between you and MyneHub ― and has the same binding force as these Terms. Our Privacy Policy outlines how we may collect and use your personal data and is available here. By registering and using the Services you expressly consent to the use, storage, transfer and processing of your personal data in accordance with its provisions and applicable law.

10. APPLICABLE LAW AND DISPUTE RESOLUTION

These Terms are governed by the State of New York law, without regard to its conflicts of law provisions. The User and MyneHub agree to submit to the jurisdiction of the courts of the State of New York, expressly waiving any other jurisdiction that may correspond to them, for the resolution of any issues related to the present Terms or to any other condition the User may be asked to accept at the Services.
